By accessing or using Cohesio's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our service. These Terms constitute a legally binding agreement between you and Hesion Labs LLC.

Cohesio provides an AI-powered project management platform that:

  • Integrates with your existing development and communication tools
  • Automates project management tasks and reporting
  • Provides AI assistants for project coordination
  • Generates insights and analytics from project data

3. Account Registration and Security

To use our services, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Be responsible for all activities under your account
  • Be at least 18 years old or have legal capacity to enter contracts

4. Acceptable Use Policy

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or interfere with our services
  • Attempt to gain unauthorized access to any systems
  • Use our service to harass, abuse, or harm others
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute our services without permission
  • Use automated systems to access our service beyond API limits

5. Third-Party Integrations

Our service integrates with third-party platforms (GitHub, Slack, Linear, etc.). You acknowledge that:

  • You must comply with their respective terms of service
  • We are not responsible for third-party service availability or changes
  • You grant us necessary permissions to access integrated services on your behalf
  • Integration functionality may change based on third-party API modifications

6. Intellectual Property

Our Property

The Cohesio platform, including all software, designs, and content, is our proprietary property protected by intellectual property laws.

Your Property

You retain all rights to your data and content. By using our service, you grant us a limited license to process your data solely to provide our services to you.

AI-Generated Content

Content generated by our AI assistants based on your data belongs to you, subject to any underlying intellectual property rights.

7. Payment Terms

For paid plans:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Failure to pay may result in service suspension
  • You're responsible for all applicable taxes

8. Service Level and Support

We strive to maintain high availability but do not guarantee uninterrupted service. We provide:

  • Reasonable efforts to maintain 99.9% uptime
  • Email support during business hours
  • Regular updates and improvements
  • Advance notice of planned maintenance when possible

9. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. We implement reasonable security measures but cannot guarantee absolute security of data transmission over the internet.

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate these Terms:

  • By you: Cancel your account at any time
  • By us: For violation of these Terms or at the end of a subscription period

Upon termination, your right to use the service ceases immediately. We will retain and use your information as necessary to comply with legal obligations.

13. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the service. Continued use after changes constitutes acceptance of the modified Terms.

15. General Provisions

  • Severability: If any provision is unenforceable, the remaining provisions continue in effect
  • Entire Agreement: These Terms constitute the entire agreement between you and us
  • Assignment: You may not assign these Terms without our consent
  • Waiver: No waiver shall be effective unless in writing
  • Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control
